Terms and conditions

Effective from

These terms and conditions apply when you or your organisation book training, or buy consulting or other services, from XCurve AI. Please read them carefully, together with our cancellation and refund policy and privacy notice. If a written proposal or contract we have agreed with you says something different, that document takes priority for the matters it covers.

1. About us

We are XCurve AI, a UK company based in London. Our registered company details are shown at the foot of every page of our website. You can contact us at cs@xcurveai.com.

2. Who these terms apply to

  • Individuals: if you book for yourself, outside your trade, business or profession, you are a consumer. You have legal rights as a consumer that these terms do not affect.
  • Organisations: if you book on behalf of a business or other organisation, you confirm that you have authority to do so, and the organisation is our customer.

3. Booking and when the contract starts

  • A booking or order is an offer to buy our services. The contract between us starts when we confirm the booking or accept the order in writing, by email.
  • For private team training and consulting, the contract starts when we both agree a written proposal, quote or order.
  • We may decline a booking, for example if a course is full or we cannot meet a particular request. If we do, we will refund anything you have paid.

4. Prices and payment

  • Prices are shown on the course page, quote or proposal and state whether VAT is included.
  • Individuals pay at the time of booking unless we agree otherwise.
  • Organisations pay according to the invoice, which is due within 30 days of the invoice date unless the quote or proposal says otherwise.
  • The price confirmed when you book is the price you pay, even if our published prices change later.
  • If an invoice is not paid on time, we may suspend services until it is paid and, for business customers, charge interest under the Late Payment of Commercial Debts (Interest) Act 1998.

5. Your right to cancel as a consumer

If you are a consumer and book online, by email or by phone, you have the right to cancel within 14 days of the contract starting, without giving a reason, and receive a full refund. If you ask us to start the service within those 14 days and then cancel, we may deduct an amount for the service already provided. This right does not affect our cancellation and refund policy, which may give you more time.

6. Cancellations and transfers

Our cancellation and refund policy explains how you can cancel, transfer to another date or send someone in your place, and what happens if we need to change or cancel a course.

7. Changes by us

  • We may make reasonable changes to course content, timings, venue, online platform or trainer, for example to keep content current. We will tell you about any significant change as early as we can.
  • If we cancel a course date or change it significantly, we will offer you a free transfer to another date or a full refund of the amount you paid for that date.
  • We are not responsible for travel, accommodation or other costs you incur because a course is changed or cancelled, unless the law requires it. We recommend booking flexible travel.

8. Attending our courses

  • Attendees should take part respectfully and follow any reasonable instructions from our trainers. We may remove an attendee whose behaviour disrupts the session or makes others unsafe, without a refund.
  • For online sessions, attendees are responsible for having a suitable device, internet connection and the software we tell you about in advance.
  • Certificates of completion are issued to attendees who complete the course as described on the course page.
  • Do not enter confidential, personal or client information into AI tools during exercises unless your organisation has approved it.

9. Course materials and intellectual property

All course materials, slides, exercises and recordings remain our property or that of our licensors. We give each attendee a non exclusive licence to use the materials for their own learning and, for organisations, for internal use within the organisation. You must not copy, share, sell, record or publish the materials or sessions, or use them to deliver training to others, without our written permission. You keep ownership of any work you or your team create during a course or engagement.

10. Consulting services

We provide consulting services with reasonable care and skill. Our advice is based on the information you give us and is not legal, financial or regulatory advice. You remain responsible for decisions about your business, including how you use AI tools, and for taking specialist advice where needed.

11. Our liability

  • Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot legally be limited or excluded.
  • If you are a consumer: we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these terms or failing to use reasonable care and skill. Your statutory rights are not affected. We supply our services for private use only and are not liable for any business losses.
  • If you are an organisation: we are not liable for any loss of profits, sales, business, revenue, data, goodwill or anticipated savings, or for any indirect or consequential loss. Our total liability to you under or in connection with each contract is limited to the total price paid or payable for the services under that contract.

12. Events outside our control

We are not responsible for delays or failures caused by events outside our reasonable control, such as illness of a trainer, severe weather, transport disruption, failures of internet or platform providers, or government restrictions. If this happens we will tell you as soon as possible and offer you a transfer to another date or a refund for services we cannot provide.

13. Your information

We use personal information as described in our privacy notice. Where an organisation gives us information about its staff, it confirms it is entitled to share it with us for the purpose of the service.

14. Complaints

If you are unhappy with our services, please tell us using our complaints procedure.

15. General

  • We may change these terms from time to time. The terms that apply to your booking are those published when you made it.
  • If any part of these terms is found to be unenforceable, the rest remains in force.
  • No one other than you and us has any right to enforce these terms.
  • If we do not enforce a right straight away, we can still enforce it later.

16. Law and jurisdiction

These terms are governed by the law of England and Wales. Disputes may be brought in the courts of England and Wales. If you are a consumer living in Scotland or Northern Ireland, you may also bring proceedings in your local courts.
